ICA’s Management and Board of Directors are entrusted to ensure that the demands of ICA’s owners and other stakeholders for efficient operational control are met. At ICA, a commitment to the environment and community engagement go hand in hand with long-term profitability.

Management and control of the ICA Group is divided between three corporate bodies: the Annual General Meeting, which is the regulatory body, the Board of Directors and the President, which constitute the executive body, and the auditor, which is the controlling body in accordance with the Swedish Companies Act and the Company’s Articles of Association

Annual General Meeting

The rules on the Annual General Meeting can be found in the Companies Act and the articles of association. The meeting elects the Board of Directors and auditors and adopts the income statement, balance sheet and proposed appropriation of earnings. The Annual General Meeting on March 21, 2011 resolved, among other things, to adopt the income statement and balance sheet for 2010 and to pay a total dividend of SEK 1,566 million to the shareholders. The Board proposes a dividend of SEK 2,000 million to the shareholders for 2011. A decision on the dividend will be made by the Annual General Meeting in spring 2012.
